    Josh advises clients on all aspects of real estate acquisitions and dispositions, from initial evaluation through closing. His work includes drafting and negotiating purchase agreements, offers and counteroffers, and closing documentation for both off-market and MLS transactions. He also prepares and reviews brokerage agreements and seller disclosure materials, and manages the due diligence process, including coordinating inspections and working with third-party consultants. Throughout, Josh focuses on identifying and addressing risks early while preserving deal momentum. Josh also maintains a California Real Estate Broker’s license and is able to serve in a brokerage capacity. This dual perspective allows him to integrate legal and transactional considerations, providing clients with a more streamlined and coordinated approach when structuring and executing deals.

  • 2. Leasing and Asset Management

    Josh represents both landlords and tenants in the negotiation and documentation of residential and commercial leases. He provides ongoing advisory support on asset management issues, including rent adjustments, capital improvement pass-throughs, tenant buyouts, and compliance with local rent control ordinances. He has appeared before local rent boards and works with clients to resolve landlord-tenant disputes efficiently and strategically.

  • 3. Construction and Development

    Josh assists clients in navigating the legal and practical complexities of property development and construction. He drafts and negotiates development and construction contracts and advises on permitting and entitlement processes, and helps structure financing and risk allocation. During construction, he provides ongoing support to address issues as they arise, with a focus on minimizing delays, controlling costs, and anticipating and resolving disputes before they escalate.

  • 4. Project Management

    Drawing on his experience as in-house counsel to a prominent Bay Area property management and development firm, Josh brings a hands-on, operational perspective to complex projects. He has managed multidisciplinary teams including consultants, contractors, lenders, and legal advisors, ensuring alignment across all aspects of a project.

    In a recent engagement, Josh oversaw the installation of solar energy systems across multiple multi-unit residential properties. His role included coordinating federal and state tax credit applications, managing budgets and lender relationships, ensuring regulatory compliance, and overseeing construction and reporting with a wide group of stakeholders and partners.

    Josh has extensive experience helping clients resolve disputes in a practical and cost-effective manner. He works to identify solutions through negotiation, mediation, and other collaborative processes, often avoiding the need for litigation. When disputes cannot be resolved informally, Josh assists clients in transitioning matters to experienced litigation counsel, ensuring continuity and a well-positioned case strategy.

    In addition to real estate-specific matters, Josh advises on related business transactions, including the purchase and sale of small businesses and the evaluation and management of multi-property portfolios. His approach integrates legal analysis with business considerations, helping clients make informed decisions aligned with their broader objectives.

    Josh provides guidance on a wide range of regulatory and title-related issues affecting real estate ownership and development. His work includes reviewing title reports and insurance, addressing easements and boundary matters, and advising on zoning, permitting, and other regulatory requirements. He also assists clients in navigating neighbor disputes and compliance challenges, and provides strategic advice regarding 1031 exchanges and Proposition 19 transfers.
